1. Scope
These Terms and Conditions apply to all sales, quotations, and deliveries made by SeamlessBio via the online platform shop.seamlessbio.de.
The shop is intended exclusively for business customers (B2B) including research institutions, universities, laboratories, and commercial entities.
Sales to private consumers are excluded.
By submitting an inquiry or order request, the customer agrees to these Terms and Conditions.
2. Product Availability & Order Process
Products listed on shop.seamlessbio.de are generally provided on request only.
Submitting a request or adding items to the cart does not constitute a binding purchase order.
The typical order process is as follows:
Customer submits a product inquiry or order request
SeamlessBio issues a formal quotation
A Proforma Invoice may be provided upon request
The customer confirms the order and arranges payment
Shipment is scheduled after payment confirmation
SeamlessBio reserves the right to decline requests without providing justification.
3. Pricing
All prices provided on the website or in quotations are indicative and non-binding until confirmed in a written quotation or invoice.
Prices may change due to:
supplier pricing changes
exchange rate fluctuations
logistics costs
regulatory requirements
Errors in pricing, product descriptions, or availability may occur.
SeamlessBio reserves the right to correct such errors at any time.
4. Payment Terms
Unless otherwise agreed in writing:
Payment must be made in advance
Shipment will occur after payment confirmation
Accepted payment methods may include:
Bank transfer
International wire transfer
Other agreed payment methods
All bank charges must be covered by the customer.
5. Shipping and Delivery
Delivery times depend on:
product availability
manufacturing lead time
logistics conditions
Shipping dates provided are estimates only.
Risk of loss or damage transfers to the customer once the shipment has been handed over to the carrier.
6. No Returns Policy
Due to the nature of biological materials and laboratory reagents, all sales are final.
SeamlessBio does not accept returns, exchanges, or refunds once products have been shipped.
Exceptions may only apply in cases of:
confirmed shipping damage
incorrect product delivery
Claims must be submitted within 5 business days after delivery.
7. Research Use Only
Many products offered by SeamlessBio are designated Research Use Only (RUO).
These products:
are not intended for human or veterinary therapeutic use
are not for diagnostic or clinical applications unless explicitly stated.
The customer is responsible for ensuring compliance with all applicable regulations.
8. Product Handling & Storage
Biological materials require appropriate handling and storage conditions.
SeamlessBio cannot be held liable for product degradation caused by:
improper storage
incorrect handling
misuse by the customer.
9. Limitation of Liability
SeamlessBio shall not be liable for:
indirect damages
loss of research results
business interruption
loss of profits
The maximum liability shall not exceed the value of the purchased goods.
10. Intellectual Property
All product descriptions, documentation, and technical materials remain the intellectual property of SeamlessBio or its suppliers.
They may not be reproduced or distributed without written permission.
11. Governing Law
These Terms and Conditions shall be governed by the laws of Germany.
The place of jurisdiction for all disputes is Germany, unless otherwise required by applicable law.
